Well Earned Merchant Terms

These Merchant Terms (“Terms”) govern your access to and use of the Well Earned merchant portal, apps, APIs, and related services (the “Service”) provided by Codingbadger Creative Limited (company number: 16896863) whose registered office is [Registered Office Address] (“Well Earned”, “we”, “us”).

By creating an account, installing our Shopify app, or using the Service, you confirm that you are acting on behalf of a business and agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • Merchant / you: the business entity using the Service.
  • Customer: an end user who links activity data (e.g. Strava) and earns merchant-funded rewards.
  • Rewards: store credit, discounts, or similar benefits you configure and fund via the Service.
  • Platforms: third-party services such as Shopify and Strava, and any connected apps/services.

2. The Service

The Service helps you configure and administer a rewards programme that may convert eligible activity data into Rewards for your Customers, and may generate discount codes or credits within your Shopify store (or other supported platforms).

You acknowledge that the Service depends on Platforms (including Shopify and Strava) and their APIs, policies, uptime, and configuration. Platform changes may affect functionality.

3. Eligibility, Rewards and Funding

Merchant-funded. All Rewards are provided and funded solely by you. Well Earned does not fund, issue, underwrite, guarantee, or insure any Rewards.

You are responsible for: (a) the rules you configure (earning rates, tracking windows, redemption limits, exclusions); (b) ensuring those rules are lawful, fair, and accurate; and (c) honouring Rewards issued in accordance with your settings and applicable law.

No cash value. Unless you explicitly state otherwise to your Customers, Rewards are promotional benefits (e.g. store credit/discount) and are not redeemable for cash.

Taxes. You are responsible for all tax, VAT, accounting, and reporting obligations arising from your rewards programme, discounts, promotions, and sales.

4. Merchant Responsibilities

  • Provide accurate business information and keep account details up to date.
  • Maintain appropriate permissions and admin access within Shopify/your connected Platforms.
  • Ensure you have appropriate terms, privacy notices, and customer-facing disclosures for your rewards programme.
  • Respond promptly to customer support issues relating to your store, products, pricing, fulfilment, and redemptions.
  • Use the Service in accordance with applicable laws (including consumer protection, marketing, and data protection laws).

5. Prohibited Use

You must not (and must not allow any third party to):

  • Use the Service for unlawful, fraudulent, or misleading promotions.
  • Attempt to bypass security, rate limits, access controls, or Platform policies.
  • Reverse engineer, copy, or create derivative works of the Service except to the extent permitted by law.
  • Interfere with or disrupt the Service or any connected Platform.

6. Data Protection

Each party will comply with applicable data protection laws. Our processing of personal data is described in our Privacy Policy: Privacy Policy.

Roles. In most cases, Well Earned acts as an independent controller for data needed to provide the Service (including account management, security, and support) and may act as a processor for certain merchant-configured operations. The exact role may vary by integration and feature.

You are responsible for ensuring you have a lawful basis to offer your rewards programme, to communicate with Customers, and to process any personal data you receive.

7. Fees, Billing and Taxes

Fees (if any) are shown in the merchant portal or your order form. Unless stated otherwise, fees are billed monthly in advance and are non-refundable except as required by law.

You authorise us (and our payment processor) to charge the payment method on file for recurring fees. You are responsible for any taxes applicable to our fees.

8. Trials and Beta Features

If we provide a free trial or beta features, they may be modified or withdrawn at any time. Beta features are provided “as is” and may be subject to additional limitations.

9. Availability and Support

We aim to keep the Service available, but we do not guarantee uninterrupted operation. Maintenance, Platform outages, and network issues may occur.

Support is provided via [support@wellearned.app] or within the portal, subject to reasonable use.

10. Intellectual Property

We own all rights in the Service, including software, branding, and documentation. You retain ownership of your store content and data. We grant you a limited, non-exclusive, non-transferable licence to use the Service during the term of these Terms.

11. Third-Party Platforms and Services

The Service integrates with Platforms such as Shopify and Strava. Your use of Platforms is governed by their terms. We are not responsible for Platform acts/omissions, API changes, suspensions, or data provided by Platforms.

12. Suspension and Termination

We may suspend or terminate your access if: (a) you breach these Terms; (b) your use risks harm to the Service, Customers, Platforms, or third parties; (c) required by law or a Platform; or (d) you fail to pay fees.

You may stop using the Service at any time and may uninstall the app from Shopify. Termination does not affect obligations accrued before termination (including fees due and liability provisions).

13. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, including fitness for a particular purpose and non-infringement.

Rewards programme disclaimer. You acknowledge and agree that you are solely responsible for your rewards programme, including the configuration, funding, and honouring of Rewards. Well Earned does not provide financial services, e-money, stored value, or cash equivalent products.

14. Liability

Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited by law.

Subject to the above, we will not be liable for: (a) indirect or consequential losses; (b) loss of profits, revenue, business, goodwill, or anticipated savings; (c) loss or corruption of data (except to the extent caused by our breach and not recoverable via backups); or (d) Platform outages or changes.

Cap. To the maximum extent permitted by law, our total aggregate liability arising out of or in connection with the Service will not exceed the fees paid by you to us in the three (3) months immediately preceding the event giving rise to the claim (or £100 if no fees were paid).

15. Indemnity

You will indemnify and hold Well Earned harmless from claims, damages, losses, and expenses arising from: (a) your store, products, fulfilment, and customer interactions; (b) your rewards programme and promotions; (c) your breach of these Terms or applicable law; and (d) your content.

16. Changes to the Service or Terms

We may update the Service and these Terms from time to time. If changes are material, we will provide reasonable notice (e.g. by email or within the portal). Continued use after the effective date constitutes acceptance.

17. Governing Law and Disputes

These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction, except where mandatory consumer laws apply (not expected here, as you are a business).
